GENERAL CONDITIONS FOR PROFESSIONALS

SANI-KITCHEN PROJECTS S.L.

By placing an order or acquiring goods intended for integration into production, transformation, commercialization or provision of services to third parties, the buyer (hereinafter, the “Customer”) accepts these General Conditions (hereinafter, the “Conditions” or the “Contract”).

2. ORDERS, PRICES AND PAYMENT

2.1. Offers are valid for thirty (30) days from the date of issue, unless otherwise indicated. Campaign offers will only be valid for the indicated period. Orders will be confirmed in writing by means of an order; modifications will only be valid if confirmed in writing by both parties.

2.2. The form of payment and the deadlines will be established in the offer or in the specific conditions agreed between the parties.

2.3. The indicated price is the price that appears on the order, and includes applicable taxes (such as VAT), surcharges and other applicable costs.

2.4. Payments must be made by bank transfer.

3. DELIVERY OF GOODS

3.1. It will be understood that the goods have been delivered at the time of their physical transfer to the indicated address. The risk of loss or damage to the goods is transmitted to the Customer at the time of delivery.

3.2. Upon delivery, the Customer assumes the duty of custody. Damages resulting from negligent storage will be the responsibility of the Customer.

3.3. At the time of delivery, the Customer or his representative will sign the delivery note as proof of acceptance.

3.4. Any non-conformity (damage, incorrect quantities, etc.) must be explicitly stated on the delivery note. If the Customer rejects the goods, this circumstance must also be left in writing stating the reason.

3.5. Delivery times are indicative and not binding, unless expressly agreed in writing. Delays due to force majeure (such as strikes, supplier delays, natural disasters) will not entitle you to compensation.

3.6. The goods must be removed within 90 days of notification of their availability. After this period has elapsed, storage costs may accrue.

4. TRANSPORT AND INSTALLATION

4.1. Sani‑Kitchen Projects may offer transportation services to the address indicated by the Customer.

4.2. Transportation costs will be notified in advance and confirmed in writing in accordance with the current price list.

4.3. The delivery will take place at the foot of a truck (at street level). The Customer will be responsible for the subsequent transfer to the desired location.

4.4. If the Customer or his representative is not present at the agreed date and time, additional transportation costs will apply.

4.5. Assembly and installation services are not included, unless expressly agreed in writing.

4.6. If the Customer uses external carriers or assemblers, Sani‑Kitchen Projects will not assume any responsibility for damage, quality problems or incorrect assembly.

5. RETURN OF GOODS

5.1. Returns of purchased goods will not be accepted, unless prior written authorization from the Seller and under the conditions determined by the Seller.

5.2. Returns of unused or leftover material will not be accepted.

6. PENALTIES AND STORAGE COSTS

6.1. If the Customer does not pick up or request delivery of the goods within seven (7) calendar days following the notification of their availability, a daily storage charge will be automatically accrued directly by the carrier, without the need for prior requirement.

6.2. After one (1) year of storage without removal, the goods will be considered abandoned. The Seller reserves the right to resell or destroy such goods.

6.3. The cancellation of an order will not be possible without express written agreement.

7. RESPONSIBILITY

7.1. The Seller will only be responsible for direct damage caused to the goods when they are demonstrably attributable to their actions.

7.2. The Seller will not be responsible for damages resulting from the Customer's negligent action, force majeure, incorrect storage or placement by the Customer, or the use of external carriers or assemblers.

7.3. Under no circumstances will the Seller be responsible for indirect damages, such as loss of profits, loss of production or loss of data.

7.4. The Seller assumes no responsibility for keeping stock or for guaranteeing refills.

7.5. If assembly or placement problems are due to incorrect information provided by the Customer (such as erroneous measurements), the Seller will not be responsible.

8. TERMINATION OF THE CONTRACT

8.1. The Seller shall have the right to unilaterally terminate the Contract if the Customer does not pay on time, does not withdraw the goods within the established deadline or fails to comply with any other contractual obligations.

8.2. The Customer may terminate the Contract if the goods have an essential lack of conformity and it is impossible or disproportionate to repair or replace them, or if a material modification is introduced to these Conditions that detracts from their purpose.

8.3. To the extent possible, the termination of the Contract will entail the return, without undue delay, of the amounts paid by the Customer and of the goods delivered by the Seller, without prejudice to any appropriate compensation. The parties undertake to seek an amicable solution to any dispute related to these Terms.

9. DATA PROTECTION

9.1. The personal data provided by the Customer will be processed by the Seller for the purpose of managing the contractual relationship and providing the requested services, with a legal basis in the execution of the contract. Sani‑Kitchen Projects complies with Regulation (EU) 2016/679 (RGPD) and with Organic Law 3/2018 on the Protection of Personal Data and the Guarantee of Digital Rights (LOPDGDD).

9.2. The Customer may exercise their rights of access, rectification, deletion, opposition, limitation of processing and portability by contacting the data protection officer at info@sani-kitchenprojects.es. You may also file a complaint with the competent supervisory authority.

10. GENERAL PROVISIONS

10.1. These Conditions are governed by Spanish law and the courts and tribunals of Vila-real (Castellón) will be exclusively competent to resolve any dispute or conflict.

10.2. The Conditions will be valid for the duration of the contractual relationship between the parties. The Customer will be informed in writing at least one (1) month in advance of any modification of the Conditions and may terminate the contractual relationship unilaterally in the event of a material modification.
